What exactly is a ‘Sidlo’?
A Sidlo is the administrative headquarters of your SRO. It must be a place where, if necessary, the public and town officials could meet with you. It is also where the mail for your SRO goes.
The main legal code governing commercial activities here in the Czech Republic is Commercial Code 513 which was initiated in 1991 and since then has been amended over 20 times with the most recent in 2003.
This constant state of change makes it very difficult for lawyers to keep abreast of all aspects of the law. What we often find is that they are well-versed in just one or two individual facets of it.
That being said, here is some of the latest information on Sidlos:
1. Sidlos can be submitted to the Commercial Registry with permission either: a.) directly from the owner of the space or b.) from a sub-leaser who has permission from the owner to sub-lease the space. In the case of the latter, both the contract between the owner and the lessee as well as between the lessee and SRO should be submitted.
2. Sidlos can be in an apartment or house but whether or not this is permitted is dependant on the activity of the business. Also, a house would be allowed greater freedom as to the business activities allowed than an apartment because it is less disturbing to neighbors.
In view of these changes we are now happy to offer sidlos on a monthly basis with a four month minimum. This allows foreign investors the opportunity to first setup an SRO, then to purchase a property through the SRO, and finally, transfer the sidlo to their new property.
